The general terms we work under with clients.
These are the general terms behind how Merimei Studio works with clients. The specific scope, deliverables, timeline, and price for your project are set out separately in a written quote, which takes precedence over this general page.
Where appropriate, we may prepare a single, limited, clearly labelled concept before any commercial agreement. It illustrates a possible direction only — it is not a finished deliverable, does not create an obligation on either side to proceed, and is not published as an official website.
No production work begins until you've accepted a written scope and quote covering deliverables, exclusions, timeline, revisions, and price.
Production begins with a 50% deposit. The remaining 50% is due before launch or file/domain transfer, in the currency agreed on your quote.
Two rounds of revisions are included within the agreed scope. Further changes — extra pages, new features, redesigns after approval — are quoted separately as a scope addition, agreed before the work is done.
You're responsible for supplying accurate business information, your logo and photos (or approving suitable placeholders), and timely feedback and approvals. Delays on your side may extend the delivery timeline.
Once your project is paid in full, the completed website and your domain belong to you.
Your domain is registered in your name. Hosting is agreed separately in writing — either through a maintenance plan or on hosting you already control — before launch.
Either party may cancel a project by giving written notice. If the client cancels after paying the deposit, Merimei Studio will stop work and prepare a closing statement showing the value of work completed up to the cancellation date, any approved non-recoverable third-party costs, and any remaining deposit balance.
The deposit will be applied to completed work and approved costs. Any unused balance will be refunded within 14 business days. If completed work and approved costs exceed the deposit, the outstanding amount remains payable.
Designs, files and other materials transfer only to the extent that the corresponding work has been paid for. Unpaid work and unused concepts remain the property of Merimei Studio.
If Merimei Studio cancels for reasons unrelated to a client breach, the client will receive a refund for work not completed and unused third-party funds. A project-specific written scope or quote may contain a different cancellation arrangement where both parties expressly agree to it.
If required content, feedback or approval remains outstanding for 20 business days after a written reminder, the project may be paused. After 40 business days without a response, Merimei Studio may close the project and issue a closing statement under the cancellation policy. Restarting a closed project may require a revised timeline and quote.
We aim to deliver carefully and as agreed. We aren't responsible for indirect losses arising from use of a delivered website, or for issues caused by third-party services (hosting, domain registrars, payment providers) outside our control.
